Terms of Service

§ 1 Scope

These GTC govern all contracts between NMA Venture Capital GmbH ("Provider") and the customer ("Customer") for the GRID SaaS platform. The offer is exclusively aimed at entrepreneurs (§ 14 BGB), legal entities under public law, or special funds. Contracts with consumers (§ 13 BGB) are excluded.

§ 2 Contract Conclusion

The contract is concluded when the Customer accepts these Terms by checkbox and clicks "Order with obligation to pay," and the Provider activates access or confirms by email.

§ 3 Services & Availability

The Provider supplies the software via Internet per the Service Description. Availability is guaranteed at 99.0% annual average (Best Effort), excluding force majeure and third-party cloud provider failures. The Provider may develop the software further provided essential functionality is maintained.

§ 4 Customer Obligations

The Customer must provide truthful registration data, keep access data confidential, and refrain from placing unlawful content or malware via the software.

§ 5 Remuneration & Payment

All prices are net plus statutory VAT. Payment is processed via Mollie B.V. (Netherlands). The usage fee is due in advance at the start of each billing period. In the event of payment default, the Provider may suspend access after prior written warning.

§ 6 Term & Termination

Monthly: Indefinite; terminable to end of current month by either party. Annual: 12-month minimum; auto-renewed for 12 months unless terminated with 1 month notice before end of term. Termination via account settings or email.

§ 7 Liability

Unlimited liability for intent, gross negligence, and personal injury. For slight negligence: liability only for breach of cardinal obligations, limited to typical foreseeable damage. Lost profits and indirect damages excluded. Data loss liability limited to restoration cost assuming proper backup.

§ 8 Data Protection

Both parties comply with GDPR. Where the Provider processes personal data on behalf of the Customer, a separate Data Processing Agreement (DPA) is concluded, forming part of this contract.

§ 9 Governing Law & Jurisdiction

German law applies, excluding the UN CISG. Exclusive place of jurisdiction for merchant Customers: Hamburg, Germany. Invalid provisions do not affect the validity of remaining provisions.
